JAMELIS is the trade name used by Christophe Keyser to publish and sell Publisher Migration Tool (“PMT”). JAMELIS is referred to below as the “Seller”.
2. Purpose and scope
These Terms and Conditions of Sale (“Terms”) govern purchases of PMT licences made through publishermigrationtool.com by consumers and business customers. They supplement the End User Licence Agreement (“EULA”), which defines the rights to install and use the Software.
If the documents conflict, these Terms prevail for sales and payment matters and the EULA prevails for the technical scope of the licence. Mandatory consumer rights always remain unaffected.
3. Product, Trial and licences
PMT is Windows software that converts Microsoft Publisher files to PDF or PDF/A by using a valid, operational local installation of Microsoft Publisher. Microsoft Publisher is not included with PMT. JAMELIS is not affiliated with, endorsed by, or associated with Microsoft Corporation.
The standard offer comprises:
- Free Trial: up to 5 successful PDF conversions and 5 successful PDF/A conversions, with separate counters;
- Base: unlimited PDF conversions on one workstation. Activation does not replenish the PDF/A Trial balance;
- Pro: unlimited PDF and PDF/A conversions on one workstation;
- Portable: unlimited PDF and PDF/A conversions, with the licence tied to a USB device that must be present during use.
The features, limits and prices displayed on the relevant product page at the time of ordering form part of the offer. Deployment, migration, third-party service or enterprise requirements outside the standard offer are subject to a separate written quote and terms.
4. Requirements, compatibility and technical protection
Before purchasing, the Customer must check the published requirements, including:
- Windows 10 or a later compatible version;
- a valid and operational installation of Microsoft Publisher;
- the correct workstation ID for Base or Pro, or USB device ID for Portable.
Base and Pro licences are technically tied to the workstation entered. A Portable licence is tied to the USB device entered. The Customer should use PMT’s copy-ID feature to avoid input errors. A correction or transfer request may require support verification and remains subject to the EULA and applicable statutory rights.
5. Order process and contract formation
The Customer selects a licence, supplies the requested information, accepts the required contract documents, reviews the order summary and confirms payment on the secure payment page. Information can be corrected before that confirmation.
The order becomes binding when payment has been authorised and JAMELIS has sent the order confirmation. JAMELIS may reject or suspend an order in the event of payment failure, suspected fraud, manifestly incorrect information or a technical inability to issue the licence, without prejudice to the Customer’s statutory rights.
6. Prices and payment
The applicable prices are those displayed on the Publisher Migration Tool website at the time of the order. The total amount payable is presented to the customer before the order is confirmed.
Belgian small-business VAT exemption scheme (Régime particulier de la franchise de taxe). No VAT is charged within the offered automatic sales scope. Business purchases outside Belgium require prior contact with info@jamelis.com; automatic checkout is unavailable for them.
Prices are stated in euros. The total amount payable, including any applicable taxes and charges, is shown before the Customer finally confirms payment. No physical delivery charge applies.
Available payment methods are shown at the start of the payment process. Payment is handled by a secure payment service provider; JAMELIS does not receive the full payment-card number. The licence is issued only after payment confirmation.
7. Digital delivery
PMT is made available by download. Following payment confirmation and automated checks, the activation code is sent without undue delay to the email address supplied with the order. The Customer must verify that address and check the spam folder.
If the code is not received or does not work, the Customer should contact support@jamelis.com with the order reference and must not publish the licence code.
8. Consumers’ right of withdrawal
A consumer generally has 14 days to withdraw from a distance contract. To receive the Software and/or licence code immediately before that period expires, the consumer must expressly request immediate performance of the digital supply and acknowledge that the right of withdrawal is lost when supply begins.
Once both consents have been validly obtained, confirmed by email with the accepted contract copies, and digital supply has begun, the consumer no longer has a right of withdrawal for that order. This exception does not limit the statutory conformity guarantee or any other mandatory consumer right.
If digital supply has not begun and the right still exists, the consumer may withdraw by sending an unambiguous statement to info@jamelis.com, stating the consumer’s name, email address, order reference and order date. The following optional wording may be used: “I hereby give notice that I withdraw from my contract for the PMT licence ordered on [date], order reference [reference], name [name], address [address], date [date].”
9. Statutory conformity guarantee
Consumers benefit from the statutory conformity guarantee for digital content and services. For a one-off supply such as a PMT licence, this protection applies for two years under the conditions laid down by law. JAMELIS also supplies updates required to maintain conformity for the period required by law.
If there is a lack of conformity, the consumer has the remedies provided by law, free of charge, and no EULA limitation reduces those rights. Problems can be reported to support@jamelis.com with the information reasonably needed for diagnosis.
10. Use, results and backups
The right to use PMT is limited by the purchased licence type and the EULA. The Software is licensed, not sold. The Customer remains responsible for the lawfulness of processed documents, selected conversion options, review of output files and appropriate backups.
Conversions are performed through Microsoft Publisher and may vary with source files, fonts, links, embedded objects and the local environment. JAMELIS does not promise that every converted document will be visually identical in all circumstances. This statement does not limit the statutory conformity guarantee for consumers.
11. Updates and Software development
A standard licence is a one-time purchase with no subscription. It does not automatically include future major versions or new paid features unless the offer states otherwise. Updates required by the statutory guarantee or other mandatory law remain due.
12. Intellectual property
PMT, its interface, documentation and JAMELIS-owned materials are protected by intellectual-property rights. Purchase grants only the usage rights described in the EULA. Third-party components remain subject to their own licences and notices.
13. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or any mandatory consumer right.
For business Customers only and to the extent permitted by law, JAMELIS is not liable for indirect or consequential loss, loss of profit, business interruption or data loss, and its total contractual liability relating to a licence is limited to the amount paid for that licence. This limitation does not apply to wilful misconduct, personal injury or any other situation in which the law prohibits it.
14. Force majeure
Neither party is liable for delay or failure caused by an event that is reasonably unforeseeable and outside its control, for the duration and to the extent of that impediment. Payment obligations already due and mandatory consumer rights remain unaffected.
15. Personal data
Data needed for ordering, payment, licence delivery, invoicing, fraud prevention and support are processed as described in the Privacy Policy. Consent to marketing communications is optional and separate from the purchase.
16. Complaints and dispute resolution
Complaints should first be sent in writing to info@jamelis.com or, for a technical issue, to support@jamelis.com. JAMELIS will seek an amicable solution.
If this attempt fails, a consumer may contact the Belgian Consumer Mediation Service, Boulevard du Roi Albert II 8 box 1, 1000 Brussels, Belgium, contact@mediationconsommateur.be, mediationconsommateur.be.
17. Governing law and jurisdiction
These Terms are governed by Belgian law. For consumers, this choice does not remove more protective mandatory provisions of the country of residence, and statutory jurisdiction rules remain applicable. For business Customers, the courts of the judicial district of Luxembourg, Belgium have jurisdiction, unless mandatory law provides otherwise.
18. Final provisions
If any provision is invalid or unenforceable, the other provisions remain in force. JAMELIS may amend these Terms for future orders; the applicable version is the one accepted when the order is placed. The Customer receives confirmation of the express consents and fixed copies of the accepted Terms and EULA by email. The Customer should retain the confirmation and contract documents received on a durable medium.
