END USER LICENSE AGREEMENT Publisher Migration Tool Version 4.5.0 Legal document version: 2026-09-16.1 Effective Date: 16 September 2026 This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Christophe Keyser, operating under the trade name JAMELIS - Independent Software Publisher ("Licensor"), governing the installation and use of Publisher Migration Tool ("Software"). By installing, copying, downloading, activating or using the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not install or use the Software. ________________________________________ 1. License Grant Subject to this Agreement and payment of any applicable license fee, the Licensor grants the User a limited, non-exclusive license to install and use the Software according to the license type obtained. The Software is licensed, not sold. All rights not expressly granted are reserved by the Licensor. ________________________________________ 2. License Types Trial License The Trial is provided for evaluation purposes. The Trial allows: • Up to 5 successful conversions from Microsoft Publisher to PDF • Up to 5 successful conversions from Microsoft Publisher to PDF/A The PDF and PDF/A Trial counters are independent. ________________________________________ BASE License (Workstation) The BASE license allows: • Unlimited conversion of Microsoft Publisher files to PDF on one licensed workstation PDF/A is not an unlimited BASE feature. If BASE is activated after a Trial, any unused PDF/A Trial conversions already remaining on that installation remain available. Activating, reactivating, reissuing or migrating a BASE license does not reset, replenish or increase the remaining PDF/A Trial balance. When the remaining PDF/A Trial balance reaches zero, unlimited PDF/A conversion requires a PRO or Portable license. ________________________________________ PRO License (Workstation) The PRO workstation license allows: • Unlimited conversion to PDF • Unlimited conversion to PDF/A One PRO workstation license is required per licensed workstation. ________________________________________ Portable License (USB) The Portable license allows: • Unlimited conversion to PDF • Unlimited conversion to PDF/A The Portable license is associated with one licensed USB device. The same licensed USB device may be used on multiple compatible computers, provided that the licensed USB device is present when conversions are performed. ________________________________________ Custom Business / Enterprise Licensing Use cases not covered by BASE, PRO or Portable may require separate written licensing. This includes, depending on the circumstances: • service-provider use for third parties • multi-user or server deployment • centralized or automated conversion services • large organizational deployment • other commercial migration arrangements Custom licensing is available only under a written quote, order or agreement issued by the Licensor. ________________________________________ 3. Dependency on Microsoft Publisher The Software requires a valid and operational installation of Microsoft Publisher. Microsoft Publisher is a product of Microsoft Corporation and is not included with the Software. The Software interacts with the installed Microsoft Publisher application to perform document export. The Licensor is not affiliated with, endorsed by, or associated with Microsoft Corporation. ________________________________________ 4. Organizational Use BASE and PRO workstation licenses may be used by businesses, organizations and institutions for their own internal purposes, subject to the workstation limits of the license. Portable licenses may be used for the licensed user's or organization's own permitted purposes on multiple compatible computers while the licensed USB device is present. Use outside those limits may require custom written licensing. ________________________________________ 5. Installation by IT Service Providers An authorized IT service provider, consultant or system integrator may install or configure the Software on behalf of the licensed end user. Such installation or configuration does not itself grant the service provider any right to use the Software for unrelated clients or conversion services. The licensed end user remains responsible for compliance with this Agreement. ________________________________________ 6. License Binding and Transfer BASE and PRO workstation licenses are technically bound to a licensed workstation. A transfer to a replacement workstation may require a replacement or reissued activation code. The User may contact the Licensor for assistance. Where a transfer is authorized: • the Software must cease to be used under the transferred workstation license on the previous workstation • the license may not be used simultaneously on multiple workstations unless the license type explicitly permits it • the transfer must remain consistent with the original license type Portable licenses may be used on multiple compatible computers as expressly permitted in Section 2. License codes may not be published, resold, distributed or shared outside the rights granted by the applicable license. ________________________________________ 7. Payment Reversal, Fraud and Chargebacks If payment for a Software license is reversed, refunded, cancelled, fraudulent or subject to a chargeback, the corresponding license rights may be revoked or terminated by the Licensor to the extent permitted by applicable law. The User must cease use of any license that has been validly revoked or terminated. ________________________________________ 8. Restrictions Except where applicable law expressly provides otherwise, the User may not: • circumvent or attempt to circumvent license restrictions • remove copyright or proprietary notices • redistribute the Software without authorization • publish or sell license codes • use the Software for unlawful purposes • use the Software outside the scope of the purchased license ________________________________________ 9. License Protection The Software may include technical measures designed to enforce the applicable license. The User may not intentionally bypass, disable or manipulate those measures in order to obtain rights not granted by the applicable license. ________________________________________ 10. Hosting and Service Restrictions Unless covered by separate written licensing, the Software may not be: • offered as a public or customer-facing online conversion service • integrated into a SaaS conversion platform • hosted as a shared conversion service for unrelated third parties • used to provide automated on-demand document conversion services to third parties ________________________________________ 11. Automated and Third-Party Conversion Services BASE, PRO and Portable licenses are intended for the licensed user's permitted local use. Using the Software as part of a professional conversion service for third parties, a centralized automated service, an API, a shared server workflow or another service-based offering may require custom written licensing. ________________________________________ 12. Export and Legal Compliance The User is responsible for using the Software in compliance with applicable laws and regulations, including any applicable export-control requirements. ________________________________________ 13. Third-Party Components The Software includes or redistributes third-party components, including ExifTool and related runtime components. ExifTool Copyright © Phil Harvey https://exiftool.org ExifTool is distributed under the same terms as Perl (Artistic License or GNU General Public License). Additional notices and license texts for redistributed components are included with the Software distribution. ________________________________________ 14. Updates The Licensor may provide updates, improvements or modifications to the Software. The Licensor is not obligated to provide maintenance or updates except where required by applicable law or an express written commitment. The Software may perform a passive HTTPS check to determine whether a newer release is available. The Software does not automatically install update ZIP packages in the 4.5.0 release. When a newer version is available, the User may choose to visit the official website and download the installer manually. ________________________________________ 15. No Guarantee of Identical Conversion The Software processes and converts user documents through the locally installed Microsoft Publisher application. The Licensor does not guarantee that every converted document will be error-free or perfectly identical to the original Publisher document. The User is responsible for reviewing important conversion results and retaining backups of source documents. ________________________________________ 16. File Safety and Existing PDFs The Software does not intentionally modify the original Publisher source documents. The Software may create, replace, rename or update PDF output files according to the options selected by the User and the safety rules implemented by the Software. The Software may use metadata or internal markers to identify PDF files previously generated by Publisher Migration Tool. The User should maintain backups of important data and review the selected output and existing-file options before processing large batches. ________________________________________ 17. Disclaimer of Warranty To the maximum extent permitted by applicable law, the Software is provided "AS IS" without warranties beyond those rights that cannot legally be excluded or limited. No provision of this Agreement excludes statutory rights that are mandatory under applicable law. ________________________________________ 18. Limitation of Liability To the maximum extent permitted by applicable law, the Licensor shall not be liable for indirect or consequential loss, loss of profit, business interruption or loss resulting from failure to maintain appropriate backups. Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Where legally permitted, the Licensor's aggregate contractual liability relating to the Software shall not exceed the amount paid for the affected Software license. ________________________________________ 19. Third-Party Software Third-party components are subject to their respective licenses and notices. The Licensor does not control Microsoft Publisher or other third-party software on which the Software may depend. Changes, defects or discontinuation of third-party software may affect Software operation. ________________________________________ 20. Termination This Agreement remains effective until terminated. The User's license rights may terminate if the User materially breaches this Agreement and fails to remedy the breach where applicable. Upon termination, the User must cease use of the terminated license rights. ________________________________________ 21. Assignment The User may not assign this Agreement or resell license rights except with the Licensor's prior written authorization or where applicable law provides otherwise. ________________________________________ 22. Force Majeure The Licensor shall not be liable for delay or failure caused by circumstances beyond reasonable control, to the extent permitted by applicable law. ________________________________________ 23. Governing Law This Agreement is governed by the laws of Belgium. Mandatory consumer-protection or jurisdiction rules applicable to the User remain unaffected. Subject to such mandatory rules, disputes relating to this Agreement shall be submitted to the competent courts in Belgium. ________________________________________ 24. Severability If a provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law. ________________________________________ 25. Entire Agreement This Agreement constitutes the agreement governing the Software license except where a separate written order, quotation or agreement expressly supplements or replaces specific terms. ________________________________________ 26.
